Brainstorm for movie title
Few months ago had a coffee with the director of a new movie about a Dutch rogue trader. As a graduation project of the filmacademie, the guys worked with limited budget. Everything is more or less finished, just some last editing left.
The main thing still missing is a catchy title. There are some suggestions, but they aren’t very convincing. The story is about a rogue trader who has a day or two before the police will arrest him – and spends his time meeting old friends. Say, the The 25th Hour
Director Tom van Blommenstein coined “Dead cat bounce“. A Dutch title is possible too – there won’t be any subtitles from the start. Anybody a better suggestion?

Een gekleurd rapport
Half mei begint de procedure waarin curator Paul Schaink probeert de geleden schade te verhalen op topman Den Drijver. De claim volgt op een vernietigend vonnis van de Ondernemingskamer, die vorig jaar oordeelde dat wanbeleid op vele fronten de oorzaak was van het razendsnelle bankroet van VDM.
‘Dat oordeel was gebaseerd op een gekleurd rapport’, zegt Den Drijver telefonisch vanuit het buitenland. Volgens hem zijn hij en zijn adviseur Hans Kroon nooit gehoord. De oud-topman, die volgens de curator zelf meermaals verstek heeft laten gaan toen hij zijn verhaal kon vertellen, verwacht dat straks ‘de waarheid boven tafel komt’.
Door en door verrot
‘Ik ben nergens bang voor en heb niets te verbergen’, stelt Den Drijver, die een maand voor het faillissement in de zomer van 2009 het effectenhuis verliet. ‘De liquidatie was de keuze van mijn opvolgers. Onnodig. Een week later kwam er $ 30 mln binnen van de Duitse fiscus.’
‘Maak je geen illusies’, reageert curator Schaink. ‘De zaak was van binnen door en door verrot.’ Schaink heeft behalve oud-topman Den Drijver ook zijn adviseur Hans Kroon en commissarissen Martin McNally en Gerrit de Marez ÂOyens en oud-cfo Michiel Wolfswinkel gedagvaard. Die laatste naam is opvallend, omdat de rechter in februari vorig jaar nog tot het oordeel kwam dat de verantwoordelijkheid van Wolfswinkel voor het bankroet ‘niet zo ernstig’ was.
Een van de vele misstappen
‘Voortschrijdend inzicht’, zegt Schaink daar nu over. ‘We hadden hem aanvankelijk niet op de korrel. Maar met het gewraakte aandeleninkoopprogramma van € 30 mln is Wolfswinkel echt de mist ingegaan, zo blijkt uit e-mails die in het dossier zitten.’ De advocaat van Wolfswinkel, die op dit moment financieel directeur is van Tie Kinetix, was gisteren niet bereikbaar voor commentaar.
Het bewuste aandeleninkoopprogramma was een van de vele misstappen die volgens de rechter de ondergang inluidden van Van der Moolen. Het vermaarde handelshuis, dat vestigingen had in onder meer Zwitserland, Duitsland, Groot-Brittannië en de VS, ging in de zomer van 2009 met veel kabaal ten onder. Deze krant berichtte rond het faillissement over belangenverstrengeling, een excessief uitgavenpatroon in de top en zwalkend beleid.
Excessief uitgavengedrag
Topman Den Drijver zag zijn medebestuurders en managers een voor een na conflicten opstappen. Vanaf juli 2008 was hij enig bestuurslid en steunde hij steeds meer op Kroon, zijn persoonlijk adviseur voor € 25.000 per maand. De grote klap kwam in 2009 van de fiscus. De vrees dat die zou weigeren mee te werken aan de strategie van ‘dividendÂarbitrage’ die Van der Moolen en partner GSFS hadden uitgedacht, leidde ertoe dat een vordering van € 43,2 mln op losse schroeven kwam te staan. Het doek viel toen begin augustus, een grote groep handelaren het effectenhuis verliet.
Saillant was het excessieve uitgavengedrag van Den Drijver en Kroon, ook in de laatste maanden van Van der Moolen: dure overnachtingen, torenhoge telefoonrekeningen en talloze vliegtickets omdat beiden in het buitenland woonden. Op kosten van de zaak bezochten Kroon en Den Drijver drie maanden voor het bankroet nog de Grand Prix in Monaco en de voetbalklassieker Real Madrid-Barcelona. Vervoersmiddel: privéÂvliegtuig.
Overname Music Store-winkelketen
Van der Moolen beschikte begin 2008 nog over € 135 mln aan liquide middelen, maar zou dat geld onder leiding van Den Drijver in hoog tempo hebben verbrand. Zo werd de kas van het handelshuis hard geraakt door het genoemde aandeleninkoopprogramma van € 30 mln en een dure verhuizing van de Amsterdamse Keizersgracht naar Schiphol.
Daarnaast gaf Den Drijver miljoenen uit aan halfslachtige pogingen om retailproducten op de markt te brengen via andere dan de tot dan toe gebruikelijke kanalen. Een daarvan betrof een kortstondige samenwerking met het onbekende entertainmentbedrijf Avalon, waarbij Kroon via zijn zoon betrokken was. Dat avontuur kostte het effectenhuis ruim € 6 mln, zonder dat aan de samenwerking een marktonderzoek ten grondslag lag. Kroon profiteerde volgens de rechter van de miljoenenlening, waarmee in feite de overname door Avalon van de Music Store-winkelketen werd gefinancierd.
Aansprakelijkheidsverzekering
Nu de dagvaardingen de deur uit zijn, hebben de oud-bestuurders en commissarissen drie maanden om zich over een verweer te buigen. Half mei start de procedure, die volgens curator Schaink enkele jaren in beslag kan nemen.
Een deel van het geëiste bedrag, zo’n € 20 mln, hoopt de curator terug te krijgen via de aansprakelijkheidsverzekering. Van der Moolen had een bestuursaansprakelijkheidsverzekering lopen bij het Amerikaanse AIG, die naar verluidt dekking gaf tot € 25 mln. Een paar miljoen zou al zijn opgemaakt aan proceskosten.
Niet of nauwelijks eigendommen op naam
Vorig jaar werd echter duidelijk dat AIG niet zonder slag of stoot bereid is uit te keren, zeker niet voor de schade die valt onder de verantwoordelijkheid van Den Drijver en Kroon. AIG, dat zelf ‘geen uitspraken wenst te doen over zaken die op individuele verzekeringsovereenkomsten betrekking hebben’, zou onvolledig zijn geïnformeerd bij afsluiting van de verzekering. Volgens de curator ziet het ernaar uit dat de verzekeraar wel dekking accepteert voor de aangeslagen commissarissen en oud-cfo Wolfswinkel.
Schaink is verder sceptisch over de hoogte van het bedrag dat hij kan verhalen op hoofdrolspelers Den Drijver en Kroon. Beiden wonen in het buitenland, naar verluidt respectievelijk Marbella en Monaco, hebben niet of nauwelijks eigendommen op hun naam staan. Bovendien hebben ze de kosten van het onderzoek voor de Ondernemingskamer vooralsnog niet betaald, hoewel ze daartoe waren veroordeeld. Wel denkt de curator dat de schuldeisers uit de boedel kunnen worden betaald. Schaink: ‘Maar dan moeten er geen ongelukken gebeuren. De Duitse fiscus heeft bijvoorbeeld opnieuw een onderzoek aangekondigd naar de bewuste belastingteruggave van €30 mln.’
